1. Acceptance of Terms
By accessing or using runshift.ai (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms apply to all users, including those on waitlists, free tiers, and paid plans.
2. Description of Service
RunShift is an agent management platform that allows users to direct, monitor, and control AI agents running across multiple language models. The Service provides an operator interface for managing AI workflows, trust gates, and audit logs.
3. Eligibility
You must be at least 18 years old to use the Service. By using RunShift, you represent that you meet this requirement and that you have the legal authority to enter into these Terms.
4. Account Registration
You may register for an account using a magic link sent to your email address. You are responsible for:
- Providing accurate registration information
- Maintaining the security of your account
- All activity that occurs under your account
You must notify us immediately at dc@runshift.ai if you suspect unauthorized access to your account.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit harmful, fraudulent, or deceptive content through AI agents
- Attempt to reverse-engineer, scrape, or extract the underlying infrastructure
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service in any manner that could harm RunShift or its users
6. AI Agents and Third-Party Models
RunShift integrates with third-party AI models including but not limited to Anthropic Claude, OpenAI GPT, and Google Gemini. Your use of these models through the Service is subject to the terms of the respective providers. RunShift is not responsible for the outputs, behavior, or limitations of third-party models.
You are solely responsible for reviewing and approving agent actions before they are executed, including through the trust gate functionality.
7. Credits and Payments
RunShift operates on a credit-based usage model. Credits are consumed per agent task execution.
- Credits are non-refundable unless required by law
- Prices are subject to change with reasonable notice
- Failure to maintain a sufficient credit balance may result in suspension of agent workflows
Payment processing is handled by Stripe. By providing payment information, you agree to Stripe's terms of service.
8. Intellectual Property
All content, branding, and software comprising the Service — including the RunShift name, logo, interface, and underlying code — are owned by RunShift and protected by applicable intellectual property laws.
Content you create or process through the Service remains yours. You grant RunShift a limited license to process that content solely for the purpose of providing the Service.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using RunShift, you consent to the collection and use of information as described therein.
10. Audit Logs and Trust Gates
RunShift maintains immutable audit logs of agent actions and approval events. These logs may be used for debugging, compliance, and product improvement. You acknowledge that these records are part of the Service and may not be selectively deleted.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. RunShift does not warrant that:
- The Service will be uninterrupted or error-free
- Agent outputs will be accurate or complete
- The Service will meet your specific requirements
12. Limitation of Liability
To the maximum extent permitted by law, RunShift shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages resulting from agent actions, data loss, or business interruption.
Our total liability to you for any claim shall not exceed the amount you paid to RunShift in the three months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless RunShift and its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to access the Service ceases immediately.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Delaware.
